Terms of Service

1. Agreement to Terms

By accessing or using veldex.co or any Veldex service (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms apply to all visitors, users, and pilot customers.

2. Description of Services

Veldex provides operations automation software and related tools designed to assist commercial trade contractors with administrative workflows including, but not limited to, estimating, scheduling, dispatch, invoicing, and compliance tracking. The Services are provided on a subscription and/or pilot basis as described in your applicable agreement.

3. No Guarantee of Results

Important: All estimates, projections, savings figures, and ROI calculations provided through the Veldex website, including the Admin Cost Calculator, are based on industry averages and the information you input. They are provided for informational purposes only and do not constitute a guarantee, warranty, or promise of specific financial outcomes.

Actual results — including hours saved, cost reductions, and operational improvements — will vary based on your specific workflows, staffing structure, integration scope, usage patterns, and other factors outside Veldex's control. Veldex makes no representation that any user will achieve results similar to estimates shown.

4. Pilot Program Terms

If you participate in a Veldex pilot program, the specific terms governing your pilot (pricing, duration, deliverables, and renewal conditions) will be set forth in a separate written pilot agreement between you and Veldex. In the event of a conflict between these Terms and your pilot agreement, the pilot agreement governs.

Pilot access is provided to evaluate the Services. Pilot pricing is not guaranteed beyond the pilot period. Veldex reserves the right to modify pricing for any subsequent subscription term.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse engineer, decompile, or extract source code from the Services
  • Resell, sublicense, or transfer access to the Services to any third party without written consent from Veldex
  • Submit false, misleading, or fraudulent information to any Veldex tool or form
  • Interfere with the security or integrity of the Services or underlying infrastructure

6. Intellectual Property

All content, software, designs, text, and materials on the Veldex website and within the Services are owned by or licensed to Veldex and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of any data or content you submit to the Services ("Your Data"). By submitting Your Data, you grant Veldex a limited, non-exclusive license to use it solely to operate and improve the Services.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, VELDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. VELDEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VELDEX AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VELDEX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VELDEX IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Veldex and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

Veldex reserves the right to suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. You may stop using the Services at any time.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which Veldex's principal place of business is located, without regard to conflict of law principles. Any dispute arising out of these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
